Promotion Terms & Conditions
Promotion Terms & Conditions of MATRYOSHKA GAMES (CY) LTD. NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR TO WIN A PROMOTION. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.
GENERAL TERMS & CONDITIONS. The following Promotion Terms & Conditions (“Promotion Terms”) apply to promotions (“Promotions”) offered by MATRYOSHKA GAMES (CY) LTD and its affiliates (collectively, “Matryoshka”) through Matryoshka’s services, including mobile game applications published by Matryoshka (each, a “Game”).
HOW IT WORKS. If you have downloaded or are using a Matryoshka Game, you may receive a notice within the Game or through Matryoshka’s official channels, such as its website, email, or social media (a “Promotion Notice”), informing you that you are eligible to participate in a Promotion. A Promotion may take the form of a contest, sweepstakes, tournament, gift with purchase, or special offer. Each Promotion Notice will contain the specific rules applicable to that Promotion, which apply in addition to these Promotion Terms. In the event of any conflict between these Promotion Terms and a Promotion Notice, the Promotion Notice shall govern. By participating in a Promotion, you agree to be bound by the applicable Promotion Notice and these Promotion Terms. If you do not agree, please do not participate.
PROMOTION DATES AND TIMES. All begin and end dates/times for a Promotion will be stated in the applicable Promotion Notice. All entries must be received during the promotion period described in the Promotion Notice. All times are listed in Pacific Time (PT), unless otherwise specified.
SPONSOR. Promotions are sponsored by MATRYOSHKA GAMES (CY) LTD, with its registered office at Arch. Makariou III, MITSI BUILDING 3, 6th Floor, 1065 Nicosia, Cyprus (the “Sponsor”). Additional sponsors, if any, will be specifically identified in the applicable Promotion Notice.
ENTRANT ELIGIBILITY. Unless otherwise stated in a Promotion Notice, Promotions are open only to legal residents of the fifty (50) United States, the District of Columbia, and Canada (excluding Puerto Rico and the Province of Quebec), who are eighteen (18) years of age or older at the time of entry, have access to the applicable Game prior to the Promotion start date, and hold a valid Game account in good standing (each, an “Entrant”). Promotions are void where prohibited. Employees, officers, and directors of Matryoshka, its advertising and/or promotion agencies, and any entities participating in the design, promotion, marketing, administration, or fulfillment of any Promotion (collectively, the “Promotion Entities”), as well as immediate family members (spouses, parents, siblings, children, grandparents, in-laws, regardless of residence) and household members of such persons, are not eligible to enter or win.
GAME ELIGIBILITY. Unless otherwise specified in the applicable Promotion Notice, these Promotion Terms apply to all Promotions administered by Matryoshka.
HOW TO ENTER OR PARTICIPATE. Entry instructions will be provided in the applicable Promotion Notice. Entrants must follow all such instructions to be eligible.
RESTRICTIONS ON USER-SUBMITTED ENTRIES. If a Promotion requires the submission of content (such as a photo, screenshot, video, or other material) (each, a “Submission”), the following terms apply:
(a) By entering a Submission, you represent and warrant that:
(i) the Submission is your original creation and does not infringe or violate any third party’s intellectual property, privacy, or other rights, or any applicable law;
(ii) the Submission has not previously won a prize in any other contest or promotion;
(iii) the Submission is not obscene, profane, pornographic, disparaging, indecent, or otherwise unlawful.
(b) Sponsor may disqualify and discard any Submission that does not comply with these Promotion Terms at any time. You acknowledge that Sponsor may receive Submissions that are similar or identical to yours, and that Sponsor retains the right to use ideas, themes, or concepts obtained from sources other than you, even if similar to your Submission. Sponsor is not responsible for any unauthorized use of Submissions by third parties.
(c) Except where prohibited by law, by entering a Promotion you grant Sponsor an irrevocable, non-exclusive, royalty-free, worldwide, perpetual, transferable, and sublicensable license to use, modify, distribute, display, and otherwise exploit your Submission, in whole or in part, for any purpose, including marketing and promotion of Sponsor’s products and services, in any media now known or later developed. You waive any right to assert claims against Sponsor arising from such use.
PROMOTION FORMATS (HOW TO WIN). Matryoshka may conduct Promotions in various formats, including sweepstakes, contests, tournaments, or special offers. Details regarding how to enter and how winners will be determined are set forth in the applicable Promotion Notice.
SELECTION OF WINNERS.
Tournament. Entrants, including the winner(s), will be notified of their standing within the Game at the close of the tournament, unless otherwise specified in the applicable Promotion Notice.
Sweepstakes. Sponsor will select one or more potential winners in a random drawing conducted within approximately seventy-two (72) hours after the Promotion’s listed end date. The odds of winning depend upon the total number of eligible entries received. Non-winning entries will not carry forward to or be included in any subsequent sweepstakes or prize drawings.
Contest. The judging criteria and process will be described in the applicable Promotion Notice. The Entrant whose Submission best meets the criteria will be selected as the winner. The decisions of the judges are final and binding in all respects.
PRIZES. The prizes available in each Promotion (each, a “Prize Package”) will be described in the applicable Promotion Notice. All Prize Packages consist solely of digital in-Game items and are intended for entertainment purposes only. Prize Packages have no cash value, are non-transferable, and may not be redeemed for cash or substituted in any form.
PRIZE CONDITIONS. By participating, each Entrant represents and warrants that they meet all eligibility requirements set forth in these Promotion Terms. Sponsor reserves the right, in its sole discretion, to verify eligibility prior to awarding any Prize Package. Failure to meet the eligibility requirements may result in disqualification and forfeiture of the Prize Package.
NOTIFICATION OF WINNERS. Potential winners will be notified primarily via in-Game inbox message and, where available, by email associated with their Game account. Sponsor may also, as a courtesy, announce winners by tagging or replying in the original Promotion post on its official social media channels. It is the Entrant’s responsibility to monitor their in-Game inbox and email account. If a potential winner does not respond within seventy-two (72) hours of notification, is found ineligible, declines the prize, or otherwise fails to comply with these Promotion Terms, the Prize Package may be forfeited and awarded to an alternate Entrant at Sponsor’s discretion.
PROMOTION CONDITIONS. VOID WHERE PROHIBITED. Promotions are subject to all applicable federal, state, and local laws. By participating, Entrants agree to be fully and unconditionally bound by these Promotion Terms and the decisions of the Sponsor, and waive any right to claim ambiguity.
By entering, Entrants and winners release, discharge, indemnify, and hold harmless the Sponsor and the Promotion Entities, and each of their officers, directors, employees, representatives, and agents, from any claims, damages, losses, or liabilities (including attorneys’ fees) arising out of participation in a Promotion, acceptance or use of a Prize Package, or any Promotion-related activities. This release includes, without limitation, any injury, death, damage, or loss of property resulting directly or indirectly from participation.
Sponsor makes no warranty, representation, or guarantee, express or implied, with respect to any Prize Package, including without limitation merchantability or fitness for a particular purpose, unless otherwise required by law. Nothing in these Promotion Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or willful misconduct, or any other liability that cannot be excluded under applicable law.
RESTRICTIONS. The Prize Package consists only of those items specifically described in the applicable Promotion Notice. Prize Packages are non-substitutable and non-exchangeable by the winner. However, Sponsor reserves the right, in its sole discretion, to substitute a Prize Package (or any component thereof) with another prize of equal or greater value if the originally described prize becomes unavailable. Sponsor shall not be liable to any winner, or to any person claiming through such winner, for any failure to supply the Prize Package or any part thereof due to acts of God, governmental actions, equipment failure, acts of terrorism, natural disasters, labor disputes, civil disturbances, or any other cause beyond Sponsor’s reasonable control.
LIMITATIONS OF LIABILITY. Sponsor is not responsible for: (1) lost, late, misdirected, undeliverable, or incomplete entries due to system errors or failures; (2) technical malfunctions of any kind; (3) failures of equipment or programming associated with the Promotion; (4) unauthorized human or mechanical intervention in the entry process; (5) technical or human error in administration or processing; or (6) injury or damage to persons or property arising, directly or indirectly, from participation in the Promotion or receipt or use of any Prize Package.
If an entry is confirmed to have been erroneously deleted, lost, or corrupted, the Entrant’s sole remedy is another entry in the Promotion. Sponsor may disqualify any Entrant who attempts to undermine the legitimate operation of the Promotion by cheating, hacking, botting, or harassing other Entrants or Sponsor’s representatives.
If the Promotion is not capable of running as planned due to virus, bugs, tampering, fraud, technical failures, or any other cause beyond Sponsor’s reasonable control, Sponsor reserves the right to cancel, modify, or suspend the Promotion and to select winners from among eligible entries received prior to such action.
Nothing in these Promotion Terms excludes or limits liability for death or personal injury caused by negligence, fraud, willful misconduct, or any other liability that cannot be limited by law.
PRIVACY POLICY AND TERMS OF USE. By entering a Promotion, each Entrant acknowledges and agrees to Matryoshka’s Terms of Service and Privacy Policy, which are incorporated herein by reference. Any personal information submitted in connection with a Promotion will be processed in accordance with the Privacy Policy. In the event of any conflict between these Promotion Terms and the applicable Promotion Notice, the Promotion Notice shall govern. Entrants further acknowledge that, if selected as a winner, certain identifying information (such as username or screen name) may be publicly disclosed as required by law.
WINNER ANNOUNCEMENT. Winners may be publicly announced on Sponsor’s official social media channels following the close of the Promotion. For privacy reasons, only usernames or screen names may be displayed.
COUNTRY SPECIFIC NOTICES: If any provision of a Promotion is invalid under the law, rules, or regulations of a particular country, it will only apply to the extent permitted by such laws, rules, and/or regulations.
MISCELLANEOUS. Entrants agree and acknowledge that Promotions are conducted in English, and waive any claim under foreign laws requiring translations. The invalidity or unenforceability of any provision of these Promotion Terms will not affect the validity of the remaining provisions. Sponsor’s failure to enforce any provision shall not constitute a waiver. In the event of any discrepancy between these Promotion Terms and any statements in Promotion materials, the Promotion Notice shall govern.
Unless specifically noted, Matryoshka Promotions are not sponsored, endorsed, or administered by, or associated with, any social network, including but not limited to Facebook, Instagram, TikTok, or Twitter.
